These Terms of Service (“Terms”) govern your access to and use of our website, tools, and services (the “Services”). By accessing or using the Services, you agree to these Terms.

 

1. Who we are

BEY Holdings LLC (“we”, “us”, “our”) provides free informational tools that help companies understand how venture debt lenders may evaluate their business. For some companies we may also provide optional paid services of mapping the venture debt landscape. 

 

2. Eligibility

You must be at least 18 years old and have the authority to act on behalf of a company to use our Services. By using the Services, you represent that you meet these requirements.

 

3. The Services

Our Services provide informational assessments, market reviews and insights only.
They are not financial advice, not credit recommendations, and not lending decisions.

We do not guarantee that any assessment reflects how a specific lender will evaluate your company, or that use of the Services will result in financing or any particular outcome.

 

4. User inputs

You are responsible for the accuracy and completeness of any information you provide.
You represent that you have the right to submit such information and that doing so does not violate any law or third-party rights.

You may use the Services without providing your company name or direct identifiers.

 

5. Intellectual property

All content, models, software, methodologies, and materials included in the Services are owned by or licensed to BEY Holdings LLC and are protected by intellectual property laws.

You may use the Services for internal business evaluation purposes only.
You may not copy, reverse engineer, resell, distribute, or publicly display the Services or outputs without our prior written consent.

 

6. Acceptable use

You agree not to:

• Use the Services for unlawful, misleading, or fraudulent purposes

• Attempt to access or interfere with our systems or security

• Use automated tools to scrape or extract data without permission

• Use the Services in a way that could harm us or other users

 

7. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect and process data. By using the Services, you agree to our Privacy Policy.

 

8. Availability and changes

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice.
We do not guarantee uninterrupted or error-free operation.

 

9. Disclaimers

The Services are provided “as is” and “as available.”
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, fitness for a particular purpose, and non-infringement.

 

10. Limitation of liability

To the maximum extent permitted by law:

• BEY Holdings LLC shall not be liable for indirect, incidental, consequential, or special damages, including loss of profits, revenue, data, or business opportunities.

• Our total liability arising out of or relating to the Services shall not exceed USD $100 or the amount you paid us (if any) in the 12 months preceding the claim, whichever is greater.

 

11. Indemnification

You agree to indemnify and hold harmless BEY Holdings LLC from any claims, losses, or damages arising out of your use of the Services or violation of these Terms.

 

12. Governing law and arbitration

These Terms are governed by the laws of the State of Israel, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (including any alleged breach) shall be finally resolved by binding arbitration in Israel, conducted in English, under the rules of a recognized arbitration institution agreed by the parties.

 

13. Assignment

You may not assign or transfer these Terms without our prior written consent.
We may assign these Terms in connection with a merger, acquisition, or sale of assets.

 

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

 

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date. Continued use of the Services constitutes acceptance of the updated Terms.
